Terms of Service

Effective Date: January 1, 2026 • Last Revised: September 2026

1. Acceptance of Terms

By accessing or registering on B2B Marketplace (the "Platform"), you agree to be legally bound by these Terms of Service. If you represent an industrial manufacturing entity, trading enterprise, or procurement company, you represent that you possess legal authority to bind that commercial organization to these terms.

2. Platform Role & Limitations

B2B Marketplace acts strictly as an electronic B2B marketplace and discovery medium. We provide the infrastructure facilitating quotations, RFQs, lead communications, and commercial inquiries between independent buyers and manufacturers. Unless explicitly stated in a verified escrow arrangement, the Platform is not a party to the underlying commercial supply contract, installation agreement, or logistics warranty entered between buyers and suppliers.

3. Account Integrity & Verification

Vendors and buyers must provide authentic, verifiable business information, including legal entity names, GSTIN or corporate identification numbers, and contact points. Misrepresenting company credentials, providing forged machinery certifications, or impersonating competitor brands warrants immediate account termination and reporting under applicable trade laws.

4. Intellectual Property Rights

Suppliers retain ownership of their registered trademarks, CAD specifications, product brochures, and catalog photos. By uploading machinery listings, vendors grant the Platform a royalty-free license to index, display, format, and syndicate listings for search visibility and promotional buyer matchmaking.

5. Limitation of Liability

In no event shall the Platform operators, affiliates, or directors be liable for direct, consequential, incidental, or exemplary commercial damages arising from transit loss, machine breakdown, delivery delays, or failure of performance by external suppliers.

6. Governing Jurisdiction

These terms are governed by the substantive laws of India. Any legal dispute or arbitration arising out of platform operations shall be subject to the exclusive jurisdiction of the commercial courts located in Ahmedabad, Gujarat.
